Union Perks Plus Inc. (“Union Perks” or “we” or “us”) makes available its services (“Services”) through www.unionperksplus.ca subject to these Terms and Conditions (“Terms and Conditions”). For the purposes of these Terms and Conditions “Union Perks” includes its affiliates Union Perks Plus Insurance Brokers Inc., Union Perks Plus Life Insurance Brokers Inc., and Union Perks Mortgage Brokers Inc. (“Affiliates”).
These Terms and Conditions constitute a legally binding agreement between Union Perks and each individual who uses any of our Services (“Member”) or otherwise uses this Site and governs the relationship between the aforementioned parties. Users include, but are not limited to, browsers, purchasers, vendors, insurers and brokers.
BY USING ANY PART OF THIS SITE, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU MUST DISCONTINUE PARTICIPATION IN AND USE OF OUR SERVICES, TERMINATE YOUR MEMBERSHIP, AND CEASE ALL USE OF THIS SITE IMMEDIATELY.
We reserve the right to amend these Terms and Conditions from time to time without notice. Any such amendment will take effect immediately upon their posting on this Site. The most current version of the Terms and Conditions will be available on this Site and it is your responsibility to review them before using this Site.
Your continued participation in and use of the Services or use of any part of this Site after the date on which any changes come into effect constitutes your agreement to be bound by the new Terms and Conditions. If you do not agree to the new Terms and Conditions you must discontinue participation in and use of our Services, terminate your Membership, and cease all use of this Site immediately.
Please review these Terms and Conditions carefully before using this Site.
1.1 CASH BACK. Union Perks offers Members the opportunity to earn cash back (“Cash Back”) on purchases completed through our Site. Union Perks receives payment for directing Members to participating retailers and companies (“Participating Retailer(s) Members may receive a portion of this fee as Cash Back on their Account.
Availability. In order to earn Cash Back, Members must be signed into their Account when using the link to the Participating Retailer and must complete their purchase after clicking the link. Visiting other websites before completing the purchase or using discount codes not provided by Union Perks may and prevent you from earning Cash Back on the purchase. In addition, when prompted, you must consent to the use of “cookies” on your computer as they are used to authenticate the user and confirm that the Member Account is eligible for Cash Back. The opportunity to earn Cash Back is offered at the sole discretion of Union Perks and subject to your compliance with these Terms and Conditions.
Exclusions. Cash Back is earned on the net purchase amount excluding taxes, fees, shipping, gift-wrapping, discounts or credits, returns or cancellations, and extended warranties. Gift card purchases do not qualify for Cash Back. Cash Back amounts may vary by Participating Retailer, store page and product category and may contain exclusions in the terms of the offer.
Payment of Cash Back. The minimum payment amount for Cash Back is $15. Balances below $15 remain in your Account for potential payment at a later date at the sole discretion of Union Perks. All payments are in Canadian dollars provided via cheque, PayPal or other payment option as Union Perks may make available from time to time. To receive payment of accrued Cash Back, you must (i) establish and maintain an Active Account and (ii) provide your current physical address and/or your valid PayPal email address. Accrual rates may vary depending on the Participating Store’s products and policies. You agree to provide additional information we may reasonably request to verify your identity for payment purposes. Cash Back amounts in excess of $15 that remain uncollected due to you providing an incorrect or no physical address or an incorrect or invalid PayPal email address may be subject to fees in relation to your Account. Union Perks is not responsible for payment errors made by PayPal or other payment partners. Union Perks reserves the right to delay or discontinue payment of Cash Back at any time.
Account Adjustments. We may deduct Cash Back from your Account for returns and cancellations of Cash Back purchases at our sole discretion. These adjustments will be made in accordance with these Terms and Conditions, any applicable Union Perks policies as well as those of its Affiliates, the Participating Retailer’s terms and policies, and all applicable laws, rules and regulations. If a Participating Retailer fails to report a transaction or pay the applicable fees to Union Perks, Union Perks reserves the right to cancel the Cash Back associated with that transaction. You are responsible for checking your Account to ensure that you have been properly credited and paid Cash Back and that your Account balance is accurate. If you have not been properly credited or paid Cash Back, you must contact us within ninety (90) days of the transaction. We reserve the right to make adjustments to any Account for any Cash Back we deem fraudulent, abusive, unethical, suspicious or otherwise inconsistent with these Terms and Conditions or any other applicable law or regulation.
1.2 GIFT CARDS. Union Perks may offer gift cards in relation to a promotion or as a redemption option for Cash Back. Gift cards are subject to the terms and conditions of the issuer and the Participating Retailer’s policies. Gift cards are issued in physical form only and require a Canadian address and are only redeemable within Canada. Union Perks is not responsible for lost or stolen payments, including gift cards.
1.3 TAXES. Bonuses and other consideration received for member referrals or other promotional activities are subject to the tax laws of the applicable jurisdiction. Members are solely responsible for any and all tax liability arising out of the consideration received in connection with any member referrals or promotional activities.
2.1 Our Services are only available to and may only be accessed or used by residents of Canada. To become a Member, you must be at least 18 years old and must provide a secure email address and password for Union Perks to create your account (“Account”). Each individual is limited to one Account. Your Account will enable you to obtain full access to our Services and to view certain offers and promotions offered by Participating Retailers.
2.2 By becoming a Member, you represent and warrant that you meet the applicable eligibility requirements and that the information you provide for and on your Account is true, accurate, complete, and current in all respects.
3.1 You agree to keep your Account information accurate, complete, and current in all respects. To update or change your Account information, you must log into your Account and enter your password. You may check your Account status and recent activities relating to your use of our Services at any time. You agree to maintain the confidentiality of your Account information, including username and password by which you access our Services. Any use of your Account will be deemed to be your use and we are entitled to act on instructions received from your Account and are not responsible for any credits or debits made to your Account by someone else who uses your Account. If there is a breach of security through your Account, you will immediately change your password and notify us of such breach. We will continue to deem any use of your Account as your use and any instructions received from your Account as authorized by you unless you notify us of the breach. We are under to no obligation to inquire into the propriety of instructions received from your Account unless you notify us of the breach.
3.2 An active account (“Active Account”) means you must have engaged in one of the following activities within the past twelve (12) months: (i) updated your Account information, (ii) have access or used our Services or any of our Participating Retailers’ products or services (iii) linked a payment card, (iv) have accrued Cash Back or (v) have logged in to your Account. If your Account remains inactive for more than twelve (12) consecutive months and the balance in your inactive Account is or becomes zero, we reserve the right to close the Account permanently and cease maintaining your Account and access to our Services.
3.3 TERMINATION. We reserve the right to terminate your Membership at any time without notice. Any violation of these Terms and Conditions or the rules and conditions of our Services or that of our Affiliates or our Participating Retailers may result in the termination of your Membership and forfeiture of pending or prior Cash Back or other rewards. We may, at our sole discretion, at any time and without prior notice, discontinue, cancel, suspend, change or limit access to all or any part of our Services or any functionality, feature or other component of our Site. Union Perks will not be liable to you or to any third party for any modification, suspension, or termination of our Services or your access to any part of the Site. Any termination of the Services will terminate your right to use and access the Services and to receive Cash Back and other rewards. Termination will not prejudice either you or our remedies available at law or in equity.
5.1 We employ safeguards to secure the information collected through and stored on this Site. Personal information and other confidential business information submitted through this Site is subject to secure encryption technology to help protect it and facilitate its arrival at our servers unread and unaltered. However, please be advised that such information may still be intercepted while in transit. Union Perks, its employees, agents or contractors are not responsible for interception, collection, use or alteration of such information transferred over the Internet.
6.1 Our Site includes links to other websites or material beyond our control. We are not responsible for such websites or material nor do we review or endorse them. We will not be liable, whether directly or indirectly, for the privacy practices or content of such websites nor for any damage, loss or offence caused or alleged to be caused by your use or reliance on any advertising, content, products, materials, or services available on such external websites or resources.
8.1 The place of performance for obligations arising from this contractual relationship for both parties is the City of Toronto, in the Province of Ontario.
9.1 This Site is provided on an 'as is' and 'as available' basis without any representations, endorsements, or warranties, whether express or implied, in relation to it and its use. You acknowledge that we cannot guarantee and cannot be responsible for the security or privacy of the Site and any information provided by you. You must bear the risk associated with your use of the Internet including but not limited to the risk of exposure to viruses, Trojan horses, worms or other destructive or disruptive components when using the Site.
9.2 We are not responsible for any errors, inaccuracies or omissions or for the results obtained from the use of information posted on this Site or for any technical problems you may experience with the Site. If we are informed of any inaccuracies in the material on the Site, we will attempt to correct this as soon as we reasonably can.
IN PARTICULAR, TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW WE DISCLAIM ALL LIABILITIES IN CONNECTION WITH THE INCOMPATIBILITY OF THE SITE WITH ANY OF YOUR EQUIPMENT, SOFTWARE OR TELECOMMUNICATIONS LINKS; TECHNICAL PROBLEMS INCLUDING ERRORS OR INTERRUPTIONS OF THE SITE; UNSUITABILITY, UNRELIABILITY OR INACCURACY OF THE SITE; AND FAILURE OF THE SITE TO MEET YOUR REQUIREMENTS.
TO THE FULL EXTENT ALLOWED BY APPLICABLE LAW, YOU AGREE THAT WE WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CONSEQUENTIAL OR INCIDENTAL DAMAGES, BOTH OF WHICH TERMS INCLUDE, WITHOUT LIMITATION, PURE ECONOMIC LOSS, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF ANTICIPATED SAVINGS, WASTED EXPENDITURE, LOSS OF PRIVACY AND LOSS OF DATA OR ANY OTHER INDIRECT, SPECIAL OR PUNITIVE DAMAGES WHATSOEVER THAT ARISE OUT OF OR ARE RELATED TO THE USE OF THE SITE.
10.1 You agree to fully indemnify, defend, and hold harmless Union Perks and its Affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, against any and all claims or demands, including reasonable legal fees, and other expenses by any third party due to or arising out of your breach of these Terms and Conditions or your violation of any law or the rights of a third party.
11.1 You agree to release Union Perks from any and all claims or demands of any kind arising out of or related to any dispute with other Members or users of this Site. By entering into this release, you expressly waive any protections that would limit the coverage of this release to those claims or demands known at the time you agree to this release.
12.1 Our Site many contain our trademarks as well as those of our Affiliates and other companies consisting of words, graphics and logos. Your use of our Site does not give you any right or license to use such trademarks, without the prior written permission of the trademark owner. Our Site is also protected under copyright laws. The copying, distribution, use or publication by you of any portion of our Site is strictly prohibited. Your use of this Site does not give you any ownership rights of any kind relating to it.
13.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of the province of Ontario and the laws of Canada applicable therein, without giving effect to any principles of conflicts of law.
13.2 Each of the parties agree (i) any action or proceeding relating to a dispute under these Terms and Conditions shall be brought in a court of competent jurisdiction in the province of Ontario, sitting in the City of Toronto and for that purpose irrevocably and unconditionally attorns and submits to the jurisdiction of such Toronto court; (ii) to irrevocably waive any right to and will not oppose any such action or proceeding on any jurisdictional basis, including forum non conveniens; and (iii) will not oppose the enforcement against it in any other jurisdiction of any judgment or order duly obtained from a Toronto court as contemplated by this section.
14.1 These Terms and Conditions constitute the entire agreement reached between you and us, and supersedes any prior or contemporaneous agreements, whether oral or written, between you and us including any prior versions of these Terms and Conditions.
15.1 Headings under these Terms and Conditions are intended for convenience only and shall not affect the interpretation of these Terms and Conditions.
16.1 If any part of these Terms and Conditions shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from and shall not affect the validity and enforceability of any remaining provisions of these Terms and Conditions.
17.1 Failure to enforce any portion any provision of or right under these Terms and Conditions will not be deeemd a waiver of such provision or any other provision or such right. No waiver by us shall be construed as a waiver of any proceeding inlcuding a proceeding for any succeeding breach of any provision.
18.1 You may not assign, transfer, or otherwise dispose of your rights and obligations, in whole or in part, under these Terms and Conditions without proor written consent, which consent may be unreasonably witheld, and any such assignemnt without such consent will be null and void. Union Perks has the right to transfer, assign, or otherwise dispose of these Terms and Conditions without your consent.
